Representing a cancer center as healthcare regulatory and transactional counsel in various matters, including the business formation of a physician practice providing cancer and hematology professional services, advising in connection with employment agreements, service agreements, managed care contracting, and other ongoing regulatory matters.

Served as healthcare regulatory counsel for a New York-based private equity firm in its acquisition of a nationally recognized behavioral health provider specializing in clinical, educational and residential services for children and adults.

Serving as regulatory and transactional counsel to a New Jersey-based private equity firm across its diverse healthcare portfolio, including urgent care, pharmacy infusion, home health, hospice, long-term care and related ancillary businesses.

Serving as regulatory and transactional counsel to a wound care company serving the long-term care sector, advising on the formation and growth of a management services organization and affiliated physician practice, including developing corporate governance and formation documentation, stock transfer arrangements, service agreements and employment agreements, day‑to‑day regulatory and contractual support, representation in UPIC and RAC audits, and strategic preparation for a potential sale of the business.

Represented a physical medicine and rehabilitation company in the sale of membership interests to physician buyers, including drafting and negotiating transaction documents, employment agreements and advising on regulatory considerations related to ambulatory surgery centers.

Serving as regulatory and transactional counsel to a vascular access practice supporting physician practices in assisted living facilities, skilled nursing facilities and office-based labs, advising on corporate structuring, practice relationships, contracts, fraud and abuse considerations, and strategic transactions.

Providing ongoing regulatory counsel to a hospice provider, including representation in government audits and appeals and guidance on complex compliance matters, including a multimillion-dollar CMS self-disclosure and a minority ownership joint venture.

Advised on the restructuring and merger of four New York–licensed home care services agencies and Consumer Directed Personal Assistance Programs, including regulatory analysis, tax structuring, estate planning and related contractual arrangements, as well as obtaining required Department of Health approvals.

Representing a multispecialty physician services organization in transactional and regulatory matters related to physician practice arrangements in long-term care facilities, including advising on vendor relationships, contracts, telehealth and chronic care monitoring arrangements, and conduct internal compliance audits to assess company operations.

Advising a hospice platform in its multistate growth strategy, including the formation of four new hospice entities and provide ongoing counsel on acquisitions, joint ventures, service contracts, medical director arrangements, clinical consent issues and regulatory considerations.

Representing pharmacy infusion centers for patients receiving specialty medication infusions and injections. Currently providing ongoing counsel on formation, structuring, contracting and regulatory analysis, as well as healthcare transactional and regulatory guidance, labor and employment counseling, real estate, and tax considerations.
